Terms of Service

The agreement between Synviotech and the businesses that subscribe to our AI receptionist service.

These Terms of Service ("Terms") govern your access to and use of the Synviotech service (the "Service") provided by Synviotech LLC, a Florida limited liability company (Florida Document Number L26000295251) ("Synviotech," "we," "us"). Synviotech LLC is part of the Ngako Solutions family of companies. By creating an account, subscribing, or using the Service you agree to these Terms.

1. The Service

Synviotech provides an AI-powered virtual receptionist that answers inbound phone calls, books appointments, qualifies leads, sends follow-up messages, and delivers transcripts and summaries to the business customer. Specific features depend on the plan tier you select.

2. Accounts and eligibility

You must be at least 18 years old and legally able to enter into a contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately of any unauthorized use.

You retain all rights to the configuration, scripts, business data, and call recordings collected through your use of the Service ("Customer Data"). You grant Synviotech a non-exclusive license to process Customer Data solely to provide and improve the Service. We do not sell Customer Data and we do not use Customer Data to train AI models that benefit other customers without your written opt-in.

6. Compliance — calling and recording laws

You are the controller of communications placed and received through your account. You are responsible for: obtaining the consent required from your customers and prospects under applicable law; honoring opt-outs; complying with do-not-call rules; and choosing the call-recording disclosure that satisfies the jurisdictions in which you and your callers are located. Synviotech provides tooling but does not provide legal advice.

7. Service availability and changes

We strive for high availability but do not warrant uninterrupted service. We may modify, suspend, or discontinue features at any time. We will give reasonable advance notice for material reductions in functionality.

8. Disclaimer of warranties

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Synviotech does not warrant that the Service will be error-free, that the AI's interpretation of any call will be perfect, or that calls will be routed or appointments booked without occasional failures.

9. Limitation of liability

To the maximum extent permitted by law, Synviotech and its affiliates, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business, arising out of or in connection with the Service. Our total cumulative liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless Synviotech and its affiliates from any claim arising out of (a) your use of the Service in violation of these Terms or applicable law, (b) your Customer Data, or (c) communications placed or received through your account.

11. Termination

You may cancel at any time from the dashboard. We may suspend or terminate your account immediately if you violate these Terms, fail to pay, or use the Service in a manner that poses material risk to Synviotech or other customers. On termination, your right to use the Service ends; your Customer Data is available for export for 30 days, after which it is deleted.

12. Changes to these Terms

We may update these Terms. We will give at least 14 days' email notice of material changes. Continued use after the effective date constitutes acceptance.

13. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Broward County, Florida; both parties consent to that exclusive jurisdiction and venue.
